Snippbot License Agreement

This License Agreement (the "Agreement") governs your use of the Software (as defined below) distributed by Snippai LLC, a Minnesota limited liability company ("Snippai", "Licensor", "we", "us", "our"). The Software is the proprietary property of Snippai LLC. Copyright © 2024-2026 Snippai LLC. All rights reserved.

Definitions

  • Snippai LLC ("Snippai") — Snippai LLC, a Minnesota limited liability company, is the Licensor under this Agreement and the operator of the Marketplace. References in this Agreement to the "Snippbot Team," "the Snippbot project," or any similar collective name mean Snippai LLC.
  • Software — The Snippbot daemon, command-line interface (CLI), web user interface, device agent, and bundled libraries distributed by Snippai LLC under the "Snippbot" name (whether self-hosted by the licensee or accessed through Snippai's hosted Marketplace), together with associated documentation files. The Software does not include Packages published by third-party publishers via the Marketplace, which are governed by their own license terms.
  • Marketplace — The hosted Singularity Marketplace service operated by Snippai LLC at singularitymarketplace.com, including the registry, package distribution service, and Marketplace web UI.
  • Snippbot Instance — A single running process of the Snippbot daemon serving HTTP on its configured port, regardless of the underlying operating system, container, virtual machine, or hardware. Each distinct installation directory or container running the Snippbot daemon is a separate Snippbot Instance.
  • Named Individual — A natural person identified by their account email address with Snippai LLC. Replacing the Named Individual occupying a Seat (for example, when an employee leaves the organization and is replaced) is permitted by removing the prior individual and inviting the new one through the Organization dashboard; such a replacement is operational administration and is not a "transfer" of a license for purposes of the Transferability section.
  • Major Version — A release of the Software in which the integer (major) component of the semantic version number (per semver.org) increments — for example, the transition from v1.x.x to v2.0.0.
  • Seat — As defined in the Commercial Use Terms: one active organization_member row in the Marketplace registry for an organization holding a Team or Enterprise Subscription.

Grant of License

1. Free Tier (Personal Use)

You are granted a non-exclusive, non-transferable, revocable license to use the Software free of charge for personal, non-commercial purposes. The local daemon and all local features are fully functional and unrestricted. Marketplace access is limited to free/community packages. You may publish tools and packages to the marketplace but may not monetize (accept bounties, sell packages, or earn USD).

2. Personal License ($49.99 one-time)

Upon purchase of a Personal License, you are granted a non-exclusive, non-transferable license for the purchased Major Version (as defined in the Definitions section) to:

  • Access all premium marketplace packages (included with license)
  • Earn USD revenue from your own marketplace activity (accept bounties, sell packages, receive tips)
  • Receive a 10% discount on individual marketplace purchases
  • Personal, non-commercial use only

Personal use, defined. "Personal" means use for your own learning, hobby projects, open-source contributions, and non-commercial creative work, including monetizing your own original marketplace contributions as an individual. Earnings from packages or bounties you personally publish on the Marketplace are permitted under a Personal License. The Personal License does not cover, and a Pro License (Section 3) or Team Subscription (Section 4) is required for, any of the following:

  • Use of the Software on behalf of, or for the primary benefit of, an employer, client, or business entity (including running Snippbot during your day job, or to produce work product owned by an employer).
  • Use of the Software to deliver paid consulting, contracting, or agency services to third parties.
  • Use of the Software to produce output that is incorporated into a commercial product, service, or offering of a business entity.
  • Use of the Software by, or on behalf of, an organization of two (2) or more individuals sharing a workspace, billing relationship, or registry namespace (see Section 4, Team Subscription).

Support window for the purchased Major Version. Snippai LLC commits to providing free Software updates within the purchased Major Version for a minimum of twenty-four (24) months from your date of purchase. Within that window, all minor and patch releases of the purchased Major Version are covered by your license at no additional cost. After the support window expires, you may continue to use the last release of the purchased Major Version you received during the window indefinitely, subject to the other terms of this Agreement.

Future Major Versions. Subsequent Major Versions of the Software (for example, v2.0 if you purchased v1.x) are not included in your Personal License and may require an additional license purchase. Snippai LLC will not release a new Major Version solely or primarily to devalue existing Personal Licenses.

3. Pro License — Solo Commercial Use ($29/month or $249/year)

The Pro License (also referred to historically as the "Commercial License" in earlier versions of this Agreement) is a single-seat license for an individual using the Software for commercial purposes — for example, at work, for paying clients, or to produce output that benefits an employer or business. Upon purchase, you are granted a non-exclusive, non-transferable license to:

  • Use the Software for commercial purposes (one named individual, one Snippbot instance)
  • Access all premium marketplace packages
  • Earn USD revenue (accept bounties, sell packages)
  • Receive a 10% discount on individual marketplace purchases
  • Access priority API rate limits

The license remains active for the duration of the subscription period. Pro Licenses are issued per Snippbot instance and per named individual; each instance or user running the Software for commercial purposes requires its own license. For two or more users sharing a workspace, billing, or private registry, see the Team Subscription (Section 4).

4. Team Subscription ($29 per Seat / month, minimum 2 Seats) BETA — subject to change

Beta notice. The Team Subscription is a beta product as of June 21, 2026. Prices, Seat minimums and maximums, Seat-allocation and activation mechanics, and feature scope are subject to change before general availability. Snippai LLC will give existing Team subscribers at least thirty (30) days' notice of any material change and will not increase prices for active Team subscribers mid-billing-period.

A Team Subscription is a per-Seat commercial license for an organization of two (2) or more Named Individuals. The Subscription has a minimum of two (2) Seats, billed from day 1 (see the registration paragraph below), and a hard cap of 25 active Seats. For solo commercial use, use the Pro License (Section 3) instead. To exceed the 25-Seat cap, upgrade to an Enterprise Subscription (Section 5).

License grant per Seat. Each active Seat under a Team Subscription is granted, for the duration of the Subscription, a non-exclusive, non-transferable license that includes all of the rights granted under the Pro License in Section 3 (commercial use, premium packages, USD revenue, priority API rate limits, 10% purchase discount) for the Named Individual occupying that Seat. For purposes of this Section 4, each Seat is deemed to be issued for one Snippbot Instance and one Named Individual, thereby satisfying the per-Instance and per-individual conditions of Section 3 with respect to the user occupying that Seat. No separate Pro License purchase is required for users covered by an active Team Seat.

No conversion between Commercial and Team. The Pro License (Section 3) and the Team Subscription (this Section 4) are distinct products and are not convertible. A Commercial licensee who wishes to add additional users must purchase a new Team Subscription through the Organization signup flow; the cost of an existing Pro License is not transferable to, refundable against, or credited toward a Team Subscription. Conversely, if a Team Subscription is cancelled and the organization is downgraded to the Free tier, no Pro License is issued to any former Member; any packages published into the Organization's namespace during the Subscription remain governed by the Organization-level ownership rules in the Commercial Use Terms §9.

Organization features. In addition to the per-Seat rights above, the Team Subscription provides:

  • A shared publisher namespace ("organization")
  • One or more private registries scoped to the organization
  • Centralized member, role, and billing administration

Registration and activation (no free trial). Team Subscriptions do not include a free trial and cannot be started with a single Seat. Self-serve Team checkout requires the Owner to designate, at signup, a second Member — an existing, email-verified individual Snippbot account that is not already a member of another Team or Enterprise organization — who is sent an invitation to claim the second Seat. The Subscription is billed for two (2) Seats at the $29/Seat/month rate from day 1; on a new Subscription only the Owner's Seat is active until the designated second Member accepts. Organization features (the shared namespace, private registries, and organization USD revenue) become available once checkout payment succeeds, whether or not the designated second Member has yet accepted. Adding further Members, or later reducing Seats subject to the two-Seat minimum below, is billed per Seat with Stripe's standard proration.

Team Subscriptions are governed by the Commercial Use Terms, which the organization's Authorized Signer must accept at signup. Cancellation takes effect at the end of the current billing period; no partial-period refunds are issued.

Two-Seat minimum is enforced; replace before removing. An active Team Subscription cannot drop below two (2) Seats. For this purpose the Seat count is the number of active Members plus outstanding (unaccepted, unexpired) invitations. The Marketplace blocks any removal, self-leave, or invitation revocation that would take the organization below two Seats; to replace a departing Member, an Owner or Admin invites the replacement before removing the departing Member. An organization that wishes to reduce below two Seats must instead cancel the Subscription (see "Cancellation" above), which takes effect at the end of the current billing period and downgrades the organization to the Free tier.

5. Enterprise Subscription ($99 per Seat / month, minimum 2 Seats, unlimited) BETA — subject to change

Beta notice. The Enterprise Subscription is a beta product as of June 21, 2026. Prices, Seat minimums, feature scope (including SSO timing), and onboarding mechanics are subject to change before general availability and will typically be specified in a written order form. Existing Enterprise subscribers will receive at least thirty (30) days' notice of any material change.

An Enterprise Subscription is a per-Seat commercial license for an organization with no upper limit on Seats. Like the Team Subscription, an Enterprise Subscription requires a minimum of two (2) active Seats.

License grant per Seat. Each active Seat under an Enterprise Subscription is granted, for the duration of the Subscription, the same per-Seat license rights as a Team Subscription (Section 4), which includes all of the rights granted under the Pro License (Section 3) for the Named Individual occupying that Seat. For purposes of this Section 5, each Seat is deemed to be issued for one Snippbot Instance and one Named Individual, thereby satisfying the per-Instance and per-individual conditions of Section 3 with respect to the user occupying that Seat. No separate Pro License purchase is required for users covered by an active Enterprise Seat. The no-conversion rule described in Section 4 (no porting between Commercial and Team) applies equally to Enterprise.

Organization features. The Enterprise Subscription includes all organization features of the Team Subscription, plus:

  • Unlimited active Seats (no 25-Seat cap)
  • Sales-led onboarding (no self-serve signup)
  • Priority support
  • Single sign-on (SSO / SAML) — roadmap, not yet shipped; see Commercial Use Terms §7 for current limitations

Provisioning and activation for Enterprise. Enterprise Subscriptions are sales-led: Snippai LLC provisions the Subscription for the negotiated Seat count specified in a written order form (minimum two (2) Seats), and the Subscription is active and billed for that Seat count from day 1. Enterprise Subscriptions do not include a free trial. The Authorized Signer receives an invitation link to take Ownership of the provisioned organization. The two-Seat minimum and the replace-before-remove rule described for Team in Section 4 apply equally to Enterprise; an Enterprise Subscription has no upper Seat limit.

Enterprise Subscriptions are governed by the Commercial Use Terms and the executed order form referencing those terms. As with Team, the two-Seat minimum is enforced on an ongoing basis (replace before removing); to reduce below the minimum the organization cancels the Subscription, which takes effect at the end of the current billing period.

Refund Policy

All license purchases are final. No refunds will be issued for any paid tier (Personal, Pro, Team, or Enterprise) except (a) as expressly required by applicable law, (b) as expressly stated in this Refund Policy, or (c) at Snippai LLC's sole discretion. By completing a purchase, you acknowledge and agree to this policy.

Subscription cancellation (Pro, Team, Enterprise). Cancellation of a subscription takes effect at the end of the current billing period. No prorated cash refund is provided for the portion of the current billing period remaining after cancellation; you retain access to the subscription's features through the end of that period.

Termination by Snippai LLC for convenience (Team, Enterprise). The no-prorated-refund rule above applies when you cancel. If Snippai LLC instead terminates an active Team or Enterprise Subscription for its convenience — that is, other than for non-payment, your material breach, or a legal or security requirement — Snippai LLC will refund a pro-rata portion of any prepaid fees for the unused remainder of the then-current billing period, as described in the Commercial Use Terms §10.3.

Mid-period Seat reductions (Team, Enterprise). When the number of active Seats in a Team or Enterprise Subscription is reduced mid-billing-period (for example, by removing a Member through the Organization dashboard), Snippai LLC's payment processor (Stripe) will apply its standard proration: the unused value of each removed Seat for the remainder of the current billing period is credited to the Organization's next invoice. The credit is applied against future charges and is not refunded as cash. Mid-period Seat additions are similarly prorated, with the prorated charge for each added Seat applied to the next invoice.

Acknowledgment for Digital Content (EU / UK / EEA Users)

Where you reside in the European Union, European Economic Area, or United Kingdom and would otherwise be entitled to a statutory cooling-off period for digital content under applicable consumer-protection law (including Article 16(m) of EU Directive 2011/83/EU on consumer rights and the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013), by activating, downloading, or commencing use of the Software, you expressly request that performance of this license begin immediately and you acknowledge that you thereby lose any right of withdrawal you would otherwise have. If you do not wish to give this acknowledgment, do not activate, download, or use the Software, and contact [email protected] within fourteen (14) days of purchase for cancellation in accordance with applicable law.

Eligibility

You must be at least 13 years of age (or such higher minimum age required in your jurisdiction — for example, 16 years of age for users in the European Economic Area or the United Kingdom) to purchase or use a license under this Agreement. By purchasing a license you represent that you meet this requirement. Occupying a paid Team or Enterprise Seat additionally requires that you be at least 18 years of age (or the age of majority in your jurisdiction, if higher); see Commercial Use Terms §4.

Minors. If you are under the age of majority in your jurisdiction (generally 18) but at least the minimum age stated above, you may use the Software and purchase a paid individual license (Personal or Pro) only with the consent and involvement of a parent or legal guardian who agrees to be bound by this Agreement on your behalf, accepts responsibility for your use of the Software, and is the responsible party for any fees. By using the Software or purchasing a license as a minor, you represent that you have obtained that consent. Paid Team or Enterprise Seats remain restricted to individuals who are at least 18 years of age (or the age of majority in their jurisdiction, if higher).

Dispute Resolution

Disputes between you and Snippai LLC arising out of or relating to this Agreement or to the Software are subject to the mandatory individual arbitration and class-action waiver provisions in Marketplace Terms of Service Section 16, including the 30-day opt-out right described in that Section. Subject to those arbitration provisions, this Agreement is governed by the laws of the State of Minnesota, United States, without regard to its conflict-of-law provisions.

Limitation of Liability & Indemnification

The Limitation of Liability provisions in Marketplace Terms of Service Section 11 and the Indemnification provisions in Marketplace Terms of Service Section 12 are incorporated into this Agreement by reference and apply with the same force and effect as if set forth in full herein. Without limiting the generality of that incorporation, Snippai LLC's aggregate liability under or in connection with this Agreement is subject to the cap stated in ToS Section 11, and you agree to defend, indemnify, and hold harmless Snippai LLC on the terms set out in ToS Section 12.

Severability & Entire Agreement

The Severability provisions in Marketplace Terms of Service Section 18 and the Entire Agreement provisions in Marketplace Terms of Service Section 20 are incorporated into this Agreement by reference. Together with the Marketplace Terms of Service, the Privacy Policy, the Bounty Terms, and (for Organizations) the Commercial Use Terms, this Agreement constitutes the entire agreement between you and Snippai LLC regarding the Software.

Transferability

Licenses are non-transferable. You may not sell, assign, lend, gift, or otherwise transfer your license key to another person or entity. Each license key is bound to the purchasing account. Sharing license keys between multiple marketplace accounts constitutes a violation of these terms and may result in license revocation and marketplace access restriction.

Modifications & Self-Hosting

Snippbot is source-available software that you self-host: the source code is made available to you, but the Software remains the proprietary property of Snippai LLC and is not released under an open-source license. Under any tier of this Agreement (Free, Personal, Pro, Team, or Enterprise), and for the duration of the license or Subscription applicable to your tier, you may modify, configure, and extend your own copy of the Software running on your own Snippbot Instance(s) — including to fit your internal needs and, where your tier permits commercial use (Pro, Team, or Enterprise — see Sections 3–5), to operate or support your business. This right to modify your own instance is in addition to the use rights granted for your tier and does not by itself require any additional license or fee.

This is an internal, self-hosting right only and does not enlarge any other right under this Agreement. Snippai LLC retains all ownership of, and all right, title, and interest in, the Software, and reserves every right not expressly granted to you. Your right to modify your own instance does not permit you to: (a) distribute, publish, sublicense, sell, lease, or otherwise make the Software — or any modified or derivative version of it — available to any third party; (b) remove or alter any proprietary, copyright, trademark, or attribution notices; (c) represent a modified version as the official Snippbot release or imply Snippai LLC's endorsement of it; or (d) copy Snippai LLC's source code or proprietary internals in order to build a substantially similar competing product or service (the independent-development carve-out in the Restrictions section below continues to apply). Modifications you make are made at your own risk, are not supported by Snippai LLC, and do not expand any warranty; the Disclaimer and the incorporated Limitation of Liability provisions apply in full to your modified instance.

Restrictions

You may not:

  • Redistribute, sublicense, sell, or lease the Software
  • Transfer, share, or resell license keys
  • Modify or create derivative works of the Software for distribution
  • Remove or alter any proprietary notices
  • Directly copy the source code or proprietary internals of the Software in order to build a substantially similar competing product or service. This restriction does not prevent you from building independent products, services, or open-source projects that compete with the Software in the marketplace, provided you do so without copying Snippai LLC's source code or proprietary internals.
  • Reverse engineer, decompile, or disassemble the Software, except to the extent such activity is permitted by applicable law and cannot be lawfully prohibited by contract (including, without limitation, decompilation for interoperability purposes permitted under Article 6 of EU Directive 2009/24/EC and Section 50B of the UK Copyright, Designs and Patents Act 1988)
  • Use a single Pro License across multiple Snippbot Instances or multiple Named Individuals (each Instance and each Named Individual requires its own license or its own Seat under a Team or Enterprise Subscription)

Contributions

By submitting contributions (pull requests, patches, or other changes) to this project, you grant Snippai LLC a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and irrevocable license to use, reproduce, modify, prepare derivative works of, distribute, perform, and display your contributions, in whole or in part, as part of the Software or otherwise. To the maximum extent permitted by applicable law, you also waive any moral rights (including rights of attribution, integrity, disclosure, and withdrawal) you may have in your contributions and agree not to assert any such rights against Snippai LLC or its licensees. If applicable law does not permit waiver of moral rights, you agree not to exercise them in a manner that would prevent Snippai LLC from exploiting the contributions for the purposes of this Agreement.

You represent and warrant that you have the legal right to grant the license set forth in this Section — for example, that you own the contribution outright, that your employer has approved the contribution, or that the contribution is sourced under a license compatible with this Agreement.

Disclaimer

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL SNIPPAI LLC BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

Termination

This license terminates automatically if you materially violate any of its terms and fail to cure such violation within thirty (30) days after written notice from Snippai LLC (or immediately, without a cure period, if the violation cannot reasonably be cured or relates to use of the Software in violation of applicable law).

Upon termination, you must (a) cease all use of the Software for purposes that require an active license, (b) uninstall the Snippbot daemon, command-line interface, and other Software components that require a license to operate, and (c) destroy or return any license keys and similar credentials provided to you by Snippai LLC. Data and content you created or generated using the Software — including agent definitions, conversations, configurations, locally stored memory, and user-owned files — remain yours and may be retained, exported, or deleted at your sole discretion; "destroying all copies of the Software" does not require destruction of your own user-generated data.

Sections that by their nature should survive termination — including without limitation the Limitation of Liability & Indemnification, Restrictions, Disclaimer, Dispute Resolution, and Severability & Entire Agreement sections — survive termination of this Agreement.
